Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Matrix Ecom LLC ("Matrix Ecom," "we," "us," or "our") governing your access to and use of the Cash Pass website at mycashpass.com, the Cash Pass Apple Wallet pass, and all related services (collectively, the "Service"). By adding the Cash Pass to your Apple Wallet, creating an account, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and a legal resident of a jurisdiction where the Service is available to use Cash Pass. You may maintain only one account. By using the Service you represent that the information you provide is accurate and that you are using the Service for personal, non-commercial purposes.

2. The Service and rewards

Cash Pass lets you complete advertising offers provided by third-party offer networks and advertisers ("Partners") and earn rewards denominated in U.S. dollars. Rewards are credited to your pass balance only after the applicable Partner confirms that you have validly completed an offer. We do not control whether or when a Partner confirms a completion, and we are not responsible for offers that a Partner rejects, reverses, or declines to credit.

Reward amounts, qualification requirements, sign-up bonuses, cashout minimums, holding periods, and other program parameters are set by us and may change at any time. A reward has no cash value until it has cleared any applicable holding or anti-fraud review period and you have successfully requested a payout.

3. Sign-up bonus and cashout

New members may receive a sign-up bonus credited to their pass. The sign-up bonus is locked and cannot be withdrawn until you complete at least one qualifying offer; this requirement helps us prevent fraud and abuse. To request a payout, your available balance must meet the posted minimum cashout amount. Rewards may be subject to a holding period before they become withdrawable to allow for chargebacks, reversals, and fraud review. Payouts are made through our third-party payout providers (for example, via PayPal or gift cards) and are subject to those providers' terms.

4. Prohibited conduct and fraud

You agree not to:

• create more than one account or use another person's identity;
• use bots, scripts, emulators, VPNs, or other means to falsify offer completions or device, location, or identity information;
• complete offers fraudulently, collude with others to manipulate rewards, or otherwise abuse the Service or our Partners;
• interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems.

We use automated and manual review to detect fraud and abuse. If we reasonably determine that your activity is fraudulent, abusive, or in violation of these Terms, we may withhold or reverse rewards, suspend or terminate your account, and deny payouts, in our sole discretion.

5. Accounts and security

You are responsible for activity that occurs through your account and pass. Notify us promptly at louie@thematrixecom.com if you believe your account has been compromised. We may suspend or terminate accounts that are inactive, that we are required to remove by law, or that violate these Terms.

6. Third-party offers and services

Offers, surveys, applications, and other content are provided by Partners and other third parties. We are not responsible for the products, services, content, privacy practices, or conduct of any third party. Your dealings with Partners are solely between you and that Partner.

7. Intellectual property

The Service, including the Cash Pass name, logos, and all related software and content, is owned by Matrix Ecom LLC or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. Apple Wallet and Apple are trademarks of Apple Inc.; Cash Pass is not affiliated with or endorsed by Apple Inc.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any particular reward or payout will be available.

9. Limitation of liability

To the maximum extent permitted by law, Matrix Ecom LLC and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the total payouts actually made to you in the six months preceding the claim or US $100.

10. Indemnification

You agree to indemnify and hold harmless Matrix Ecom LLC from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms.

11. Changes to the Service and these Terms

We may modify, suspend, or discontinue the Service at any time. We may also update these Terms from time to time; the "Last updated" date above reflects the most recent changes. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Natrona County, Wyoming, except where prohibited by applicable law.
